These Terms and Conditions ("Terms") govern your access to and use of the HiveIQ platform ("Platform") operated by AUSTRALIAN HONEYBEE PTY. LTD. (ABN 52 165 569 755) ("HiveIQ", "we", "us", or "our"). By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Definitions

  • "Account" means a registered user account on the Platform.
  • "Organisation" means a group entity created within the Platform to manage sites, apiaries, hives, devices, and users.
  • "Device" means any IoT sensor or hardware device registered to an Organisation on the Platform.
  • "Content" means any data, text, configurations, or other material you submit to the Platform.
  • "Subscription" means a paid licence plan providing access to Platform features.

2. Eligibility

You must be at least 18 years of age and capable of forming a binding contract under Australian law to use the Platform. By registering, you represent that you meet these requirements.

3. Accounts and Organisations

  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your Account.
  • Each Account may be associated with one or more Organisations. Organisation owners are responsible for managing member access and permissions.
  • You must provide accurate, current, and complete information during registration and keep it up to date.
  • You must notify us immediately of any unauthorised use of your Account.

4. Licence to Use the Platform

Subject to these Terms and your Subscription, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your internal beekeeping and apiary management purposes. This licence does not include the right to sublicense, resell, or redistribute any part of the Platform.

5. Subscriptions and Payments

  • Access to certain features requires an active Subscription. Available plans, pricing, and feature limits (including sites, apiaries, hives, and users) are described on the Platform.
  • Payments are processed securely by Stripe. By subscribing, you also agree to Stripe's Terms of Service.
  • Subscriptions renew automatically at the end of each billing period (monthly or yearly) unless cancelled before the renewal date.
  • You may cancel, change, or resume your Subscription through the Platform or the customer portal. Cancellations take effect at the end of the current billing period unless you choose immediate cancellation.
  • All fees are quoted in the currency displayed at checkout and are exclusive of applicable taxes unless stated otherwise.
  • We reserve the right to change pricing with reasonable notice. Price changes do not affect the current billing period of an active Subscription.
  • Refunds are provided at our sole discretion and in accordance with Australian Consumer Law.

6. IoT Devices and Sensor Data

  • You are responsible for the installation, maintenance, and connectivity of Devices registered to your Organisation.
  • The Platform displays sensor data and telemetry as received from your Devices. We do not guarantee the accuracy, completeness, or timeliness of sensor data and accept no liability for decisions made in reliance upon it.
  • Device placement history and associated data are retained on your behalf and subject to our Privacy Policy.

7. Site Sharing

  • The Platform allows Organisation owners to share site access with other users or Organisations via invitations.
  • You are responsible for managing and revoking site share invitations. Shared access provides visibility into the shared site's data according to the permissions configured.
  • We are not responsible for any actions taken by users you grant access to via site sharing.

8. API Access and Keys

  • We may provide API access subject to additional usage limits defined by your Subscription.
  • API keys are confidential credentials. You are responsible for securing them and for all activity conducted using your keys.
  • We reserve the right to revoke API keys or restrict API access at any time if we detect misuse or a security risk.

9. Your Content and Data

  • You retain ownership of all Content you submit to the Platform.
  • By submitting Content, you grant us a limited licence to store, process, display, and transmit it solely for the purpose of providing the Platform's services to you.
  • You are solely responsible for ensuring you have the right to submit any Content and that it does not infringe any third-party rights.
  • We perform regular backups but do not guarantee against data loss. You are encouraged to maintain your own backups of critical data.

10. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to gain unauthorised access to any part of the Platform, other accounts, or related systems.
  • Interfere with or disrupt the Platform's infrastructure, security, or performance.
  • Reverse-engineer, decompile, or otherwise attempt to derive the source code of the Platform.
  • Use automated systems (bots, scrapers) to access the Platform except via our published APIs.
  • Transmit malware, viruses, or other harmful code.

11. Intellectual Property

The Platform, including its design, software, branding, documentation, and all related intellectual property, is owned by HiveIQ or its licensors and is protected by Australian and international intellectual property laws. Nothing in these Terms transfers any intellectual property rights to you beyond the limited licence granted in Section 4.

12. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

13. Limitation of Liability

To the maximum extent permitted by Australian law:

  • HiveIQ is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, profits, livestock, or bee colonies, arising from your use of or inability to use the Platform.
  • Our total aggregate liability for any claim arising under these Terms is limited to the total fees you paid to us in the twelve (12) months preceding the claim.
  • Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Australian Consumer Law.

14. Indemnification

You agree to indemnify and hold harmless HiveIQ, its officers, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Platform, breach of these Terms, or violation of any third-party rights.

15. Suspension and Termination

  • You may close your Account at any time by contacting us. Active Subscriptions should be cancelled before account closure.
  • We may suspend or terminate your access immediately if you breach these Terms, if required by law, or to protect the security of the Platform or other users.
  • Upon termination, your right to use the Platform ceases. We may retain data as required by law or as described in our Privacy Policy.

16. Changes to These Terms

We may modify these Terms at any time by posting the updated version on this page with a revised effective date. Material changes will be communicated via email or a notice within the Platform. Continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms.

17. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Queensland, Australia. You agree to submit to the exclusive jurisdiction of the courts of Queensland for the resolution of any disputes arising under these Terms.

18. General

  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and HiveIQ regarding your use of the Platform.
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.
